Terms of Service

These Terms of Service govern your access to and use of MIRA. By creating an account or using the Service, you agree to these terms. If you are using MIRA on behalf of a business, you confirm you are authorised to bind that business.
1. Acceptance of these terms
These Terms form a binding agreement between you (and the business you represent, “you”) and MIRA, operated by [Legal Entity Name] (“MIRA”, “we”, “us”). If you do not agree, do not use the Service.
2. The Service
MIRA is a WhatsApp-native AI operations assistant that replies to your customers, qualifies leads, runs follow-ups and provides analytics and an acquisition engine. We may add, change or remove features over time. Our handling of personal data is described in our Privacy Policy.
3. Eligibility & accounts
- You must be at least 18 and able to form a binding contract.
- You must provide accurate account information and keep it current.
- You are responsible for activity under your account and for safeguarding your credentials. Notify us promptly of any unauthorised use.
4. Subscriptions, billing & taxes
- Plans. MIRA is offered on subscription plans (e.g., Starter, Growth and Scale) with the features and usage limits described at sign-up or on our pricing page.
- Billing. Paid plans are billed in advance on a recurring (monthly, unless stated otherwise) basis through our payment processor, Razorpay, in Indian Rupees (₹).
- Auto-renewal. Subscriptions renew automatically each billing period until cancelled. You authorise us to charge your payment method for each renewal.
- Taxes. Fees are exclusive of taxes; applicable GST and other taxes will be added where required.
- Plan changes. Upgrades take effect immediately; downgrades take effect at the next billing period. We may change prices or plans with prior notice; changes apply from your next renewal.
- Usage limits. Exceeding your plan’s limits may require an upgrade or may pause certain features. See our Refund Policy and Cancellation Policy.
5. Acceptable use
You agree not to, and not to allow anyone to:
- send messages without the recipient’s consent, or otherwise breach WhatsApp’s Business and Commerce policies, Meta’s terms, or applicable anti-spam, telemarketing and DND/TRAI rules;
- use the Service for unlawful, fraudulent, deceptive, harassing or harmful purposes;
- send malware, attempt to gain unauthorised access, probe or disrupt the Service, or circumvent usage limits or security;
- reverse-engineer, scrape, resell or copy the Service except as permitted by law;
- upload content you do not have the right to use, or that infringes third-party rights;
- misuse AI features to generate illegal, misleading or abusive content.
You are responsible for the content you and your AI assistant send, and for obtaining all consents required to communicate with your customers.
6. Your content & customer data
You retain ownership of the content and data you provide (“Your Content”), including your knowledge-base documents and your customers’ conversation data. You grant MIRA a worldwide, non-exclusive licence to host, process and transmit Your Content solely to provide the Service. As between you and us, you are the controller of your customers’ personal data and are responsible for your lawful basis to process it.
7. AI output
MIRA uses third-party AI models and may produce output that is inaccurate, incomplete or unsuitable. AI output is not professional, legal, financial or medical advice. You are responsible for reviewing AI-assisted communications and decisions before relying on them.
8. No revenue or results guarantee
MIRA is a tool. We do not guarantee any specific business outcome — including sales, revenue, number or quality of leads, conversion rates, response times, or growth. Any examples, illustrations or sample figures shown in the Service or on our website are illustrative only and are not a promise of results. Your results depend on factors outside our control.
9. Intellectual property
The Service, including its software, design, branding, “MIRA” marks and all related intellectual property, is owned by MIRA or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not use our marks without permission. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Service.
10. Third-party services
The Service relies on third parties (including Meta/WhatsApp, Anthropic, OpenAI, voice providers and Razorpay). Your use of those features is also subject to those providers’ terms, and we are not responsible for their acts, omissions or availability.
11. Suspension & termination
- By you. You may stop using the Service and cancel at any time per our Cancellation Policy.
- By us. We may suspend or terminate your access, with or without notice, if you breach these terms, fail to pay, create risk or legal exposure, or misuse the Service — including violations of WhatsApp/Meta policies. Where practical we will give notice and an opportunity to cure.
- Effect. On termination, your right to use the Service ends. We may delete your data after a reasonable period as described in the Privacy Policy. Fees already due remain payable.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation, to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, MIRA and its operators will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.
14. Indemnification
You will indemnify and hold MIRA harmless from claims, damages and costs (including reasonable legal fees) arising from Your Content, your use of the Service, your messaging of customers, or your breach of these terms or applicable law.
15. Governing law & jurisdiction
These terms are governed by the laws of India. Subject to any applicable law, the courts at [City], India will have exclusive jurisdiction over disputes relating to the Service.
16. Changes to these terms
We may update these terms from time to time. Material changes will be notified through the Service or by email, and the “Last updated” date above will change. Continued use after changes take effect means you accept the updated terms.
